After 55 years in the Hotel Industry, working for Hotel Companies such as Hilton Hotels, Holiday Inn Hotels, Hospital Services Receivership services for bankruptcy proceedings such as V.P. of Operations, and from there working based in Mexico, as V.P. of Hotel Companies in Hotel Acquisitions negotiating 19 hotels and including Investor Groups interested in Mexico and the Caribbean. He also worked on the opening of 7 Hotels in the USA, Mexico, Belize and Panama, in addition to establishing the "All Inclusive" Vacation Club and Adult Services Hotels. Including Hotel Companies that represent the Corporate position of V,P, of Hotel Operations, in 2007, we decided to change direction. and under the Banner of Hotel Motel Consulting in USA, and in Latin America of www.asesoriahotelera.com, working with Independent Hotels, working on Hotel Acquisitions and Land Development Projects. As we have noticed the main difficulties that investor groups face with acquisitions in Latin America, we now form WorldHotelAcquisitions Consulting LLC. providing all the necessary services to Investor Groups mainly, in the early stages of a possible negotiation and/or including the "Due Diligence" process, and being a key man, to achieve a final acquisition with a "win-win" objective in mind.
In 2007, we decided to change directions. and under the Flag of Hotel Motel Consulting in USA, and in Latin America of Asesoria Hotelera - www.asesoriahotelera.com, we started working with Independent Hotels, on Hotel Acquisitions and Land Development Projects, as well as overall Consulting of Hotels Administration and Hotel Operations.
Back then, we noticed, the main difficulties, most Investor Groups were having regarding the various steps during the negotiations and at the start following up on all "Due Diligence" steps needed to safeguard a possible negotiation start for an Acquisitions, in most Latin American countries, so, we saw the need for us to create a Company , aside from the usual Brokers, to help represent the Investor Groups during such negotiations, thus, we now have created out of Delaware WorldHotelAcquisitions Consulting LLC. to be Providing all important services during the Acquisition steps to Investor Groups primarily, in the early stages of a possible negotiation and/or including the "Due Diligence" process, and be your "Advance Group", to check all areas of concern with the goal in mind, to provide you with all important information and or verify certain documents to be up to date with Permits payments and or Legal documents to be revised and or changed in order to comply with a proper negotiation goal in mind not to encounter surprises along the way, and achieve an expected closing.
Our job is to do the following steps for your Hotel Company and/or Investor Group;
1.- Once we receive an agreement letter of representation on this very important negotiation, we now proceed to work directly with the Owner and/or the Legal Representative, thus, we make sure to do away with middle players that do not bring any possible solutions and proceed to start securing docuements for the possible negotiation.
2.- We submit in a exchange a letter of registration that will include certain clauses, that will protect your identity and non-circumbent your negotiation with possible third party buyers.
3.- At the same time, We receive an NDA from Ownership signed as to the non-circumbent of your possible negotiation as well as a "Non-Disclosure Agreement" - NDA/CDA, -Confidential Disclosure Agreement, between the Buyer and Seller, as to respect this negotiating process
4.- At this point, we spend time with the Seller, as to "why", he chose and or what steps were taken to reach a specific amount to sell the asset. At this point, the Seller does NOT want to relinquish any Financials to us, which is fine in as long as they tell us in order to justify the "Asking price", all we need to have from them is the "Cap Rate', thus, we will automatically check how low or high he is comapared to the average Cap Rate needed to justify a start of a negotiation.
5.- If the Cap Rate is in line or acceptable to the Buyer to start a possible negotiation, we will advise you to submit an acceptable offer at the "Ask", via a "Letter of intent to purchase said asset , including the list of Financial and Legal documents that will be neededto commence along with the alloted number of days for the seller to comply with such documents before formally agree to a starting date for the negotiation and process ( Typically, multi-language contracts have a two-column view. One side will be in English, and the other side will be in the other language. Then, there will be a provision noting which language will serve as the contract's official language in the event of a contract dispute.)
6.- During the negotiation process, we make ourselves available throughout the process and participate in all areas of Administration-Operations and Legal, making sure there are no left stones unturned during the “Due Diligence’ steps and work with you saving you “Time and Money”, until the stipulated closing date.
